Corporate governance & risk management
Ever since the first corporate governance rules were promoted by the Malta Stock Exchange in 1992, we have been actively involved in the creation and development of best practices in corporate governance in Malta. We assist our clients, both listed and unlisted, in keeping up-to-date with corporate governance procedures and developments. We frequently advise on the development of corporate governance regimes, investor protection committee guidelines, Listing Rules, Disclosure and Transparency Rules and Corporate Governance Code compliance.
Our work includes on-going advice to listed companies relating to compliance with the Listing Rules generally as well as the code of good corporate governance under the Listing Rules, the setting-up of and formulating procedures for audit committees and other committees set up by the board of directors as required in terms of the Listing Rules. We also assist clients with development programmes for non-executive directors, directors’ remuneration policies and board structures. Our experience in this area has also developed in advising unlisted clients in developing programmes and structures for corporate governance, particularly within family companies in their third and fourth generation.
Insolvency & corporate recovery
Our corporate practice involves not only acting for several banks and other creditors facing the impending or actual insolvency of debtors, but also acting for companies in financial difficulties that are looking to put their business back on track. This exercise can typically involve a restructuring or refinancing plan, or a group reorganisation. We have a comprehensive understanding of the differing standpoints and interests that arise as a result of these issues and we are able to fully advise all parties involved, including the company itself and company directors.
We have also advised and acted for administrators and liquidators appointed for the purpose of conducting the liquidation process of a company approaching - or in a state of - insolvency. Following the collapse of a major Maltese supermarket chain, we were engaged as counsel for the liquidator in what have been noted as the most important and high-profile insolvency proceedings ever brought before the Maltese Courts (the Price Club creditors case).
